Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Claridex LLC ("Claridex," "we," or "us"). They govern your access to and use of the claridex.co website (the "Site") and your purchase of subscriptions to Claridex Certificate Manager (the "Software"). By using the Site or purchasing a subscription, you agree to these Terms. If you do not agree, do not use the Site.
1. The service
The Site is an informational and commerce website that lets you learn about and purchase subscriptions to the Software. The Software itself is self-hosted: you install and run it within your own environment.
2. Relationship to the product license
Your installation and use of the Software is governed by the End User License Agreement (the "EULA") presented during installation, not by these Terms. Where these Terms and the EULA address different subjects, both apply; the EULA controls matters specific to use of the Software.
3. Subscriptions, billing, and renewal
Subscriptions are sold on a per-server basis and billed monthly or annually in advance, in United States dollars, through our payment processor. Unless cancelled, subscriptions renew automatically at the end of each billing period at the then-current rate, and the payment method on file is charged. Applicable taxes may be added. You authorize these recurring charges.
4. Cancellation
You may cancel at any time through the billing portal (linked from the Manage billing page) or by contacting support@claridex.co. Cancellation takes effect at the end of the current billing period; access continues through the period already paid for, and the license lapses at the end of its term plus any grace period defined in the EULA.
5. Refunds
Subscription fees are non-refundable except where required by law. If you believe you were charged in error, contact support@claridex.co and we will review the matter in good faith.
6. Accounts and accuracy
The Site does not require a password account. You are responsible for providing an accurate email address and organization name at checkout, for keeping access to that email account, and for the security of any license key delivered to you. Treat license keys as confidential.
7. Acceptable use
You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, probing or scanning its systems, or using it in violation of applicable law.
8. Intellectual property
The Site, the Software, and all related trademarks and content are owned by Claridex LLC or its licensors and are protected by law. These Terms grant no rights to that intellectual property except the right to use the Site as intended.
9. Disclaimers
The Site is provided on an "as is" and "as available" basis, without warranties of any kind, to the fullest extent permitted by law.
10. Limitation of liability
To the fullest extent permitted by law, Claridex LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Site. Liability relating to the Software is governed by the EULA.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the date at the top of this page. Continued use of the Site after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
